    \u2705 STEP-BY-STEP: Strike Off a Section 8 Company<\/h2>\n\n\n\n

    1. Stop business & settle everything<\/h2>\n\n\n\n

    Before you do anything:
    \u2714 The company should have stopped operations<\/strong> (ideally inactive)
    \u2714 It must not have any liabilities<\/strong> (no loans, unpaid bills, taxes, salaries)
    \u2714 Close bank accounts<\/strong> and settle all dues
    \u2714 File all pending annual returns \/ financials<\/strong> with RoC (AOC-4, MGT-7, etc.)<\/p>\n\n\n\n

    2. Board Meeting<\/h2>\n\n\n\n

    Call a Board of Directors meeting<\/strong> and do these:
    \ud83d\udccc Pass a Board Resolution<\/em> saying:<\/p>\n\n\n\n

    \u201cWe want to close (strike off) the company.\u201d
    This is the first official internal decision.<\/em><\/p>\n<\/blockquote>\n\n\n\n

    3. Member Approval (EGM)<\/h2>\n\n\n\n

    \u2714 Hold an\u00a0Extraordinary General Meeting (EGM<\/a>)<\/strong>\u00a0of members
    \u2714 Pass a\u00a0Special Resolution<\/strong>\u00a0(needs at least\u00a075% votes<\/strong>) to close the company.
    This is required before official filings.<\/p>\n\n\n\n

    4. File the Special Resolution (MGT-14)<\/h2>\n\n\n\n

    Within\u00a030 days<\/strong>\u00a0of the EGM:
    \ud83d\udccd Fil    e\u00a0Form MGT-14<\/strong><\/a>\u00a0on the MCA portal to inform the RoC.

    5. Prepare declarations and accounts<\/h2>\n\n\n\n

    You\u2019ll need documents showing:
    \u2705 All liabilities are cleared
    \u2705 A declaration\/affidavit<\/strong> from directors
    \u2705 Statement of accounts (assets & liabilities)
    These must be certified by a Chartered Accountant if required.<\/p>\n\n\n\n

    6. File Form STK-2 (Strike-Off Application)<\/h2>\n\n\n\n

    \u2714 Attach all relevant docs, board + shareholder resolutions, statements, affidavits, and fees.
    Note: As a Section 8 company, you usually also need\u00a0Regional Director approval<\/strong>\u00a0before this filing.<\/p>\n\n\n\n

    7. Public Notice<\/h2>\n\n\n\n

    Once STK-2 is accepted:
    MCA\/RoC issues a public notice<\/strong> (30 days) on the MCA site and Official Gazette.
    This lets anyone (creditors, stakeholders) raise objections.<\/p>\n\n\n\n

    If no objections<\/strong> come within 30 days \u2192 move to final step.<\/p>\n\n\n\n

    8. Company is struck off<\/h2>\n\n\n\n

    After no objections, the Registrar will officially strike the company\u2019s name<\/strong> from the register.
    This means the company no longer exists<\/strong> legally.<\/p>\n\n\n\n

    A Section 8 company can\u2019t just file STK-2 like private companies \u2014 Regional Director approval<\/strong> is normally required because it\u2019s a non-profit entity.
